General conditions of access and use of the application

The Supplier or Services Provider applying for registration in the Suppliers’ portal at Zayed University shall read all the following terms and conditions and confirm its acceptance and compliance as a perquisite for registration in the Suppliers’ portal system in order to be eligible to be deemed approved supplier by the university.

Conditions relating to the supplier

The Supplier applying for registration in the Suppliers’ Portal through the Suppliers Registration System on Zayed University’s website (“Registration System”) shall be a company or establishment duly registered with the competent authorities in the state, hold a valid commercial license and have all licenses and permits required for carrying out its business.

None of the Supplier’s shareholders may be an employee of the university which a contract may be concluded.

The Supplier must not be subject to a ban from participating in tenders or processes organized by any federal authority.

The Supplier shall be registered with the Federal Tax Authority and submit VAT registration number.

Information

All information ( bank details, VAT number, Trade license, power of attorney, references and etc.) provided by the Supplier during the registration process and throughout the period of its registration in the Suppliers’ Register, are true, correct and reflect the actual status of the Supplier and its business. The Supplier shall be fully liable for any error in such information.

Every Supplier registered in the Registration System shall continually update the information of its account on the Registration System, on a periodical basis and in the event of any change to the provided. If the information contained in the Registration System is not updated, Zayed University shall have the right to exclude the concerned Supplier and deem the latter unqualified as an approved Supplier and may not be invited to participate in tenders and processes.

The Supplier shall, upon request, furnish Zayed University or any other federal authority with any information or document that may be requested to complete the Supplier’s file.

The Supplier shall pay all due registration or renewal fees if applicable.

Completion of the procedures of registration in the Suppliers’ Register does not automatically imply acceptance of the Supplier as an approved Supplier by Zayed University. Zayed University shall have the right to review all information and documents submitted by the Supplier through the Registration System and notify the Supplier of its decision.

Completion of the procedures of registration in the Suppliers’ Register and acceptance as an approved Supplier does not entail that Zayed University is bound to invite the concerned Supplier to participate in any tender or process.

Registration period

The Supplier shall be responsible for renewing its registration in the Registration System.

Compliance with the applicable laws & regulations

The Supplier shall comply with all applicable federal laws and regulations.

Insurance

The Supplier confirms that it has contracted all necessary insurance policies to carry out its activities in relation to providing the services and/or the required products. The Supplier further undertakes that it shall maintain all such insurance policies throughout the period of its registration as an approved Supplier in the Registration System.

Removing supplier from approved suppliers register

Zayed University may remove from the Suppliers’ Register the name of the Supplier who has not met the requirements of success that are required as part of the evaluation of performance after the service has been provided, in which case, the Supplier shall not be permitted to supply any products or services to Zayed University for a period not exceeding one (1) year from the date of the evaluation.

Zayed University may remove the name of the Supplier from the Suppliers’ Register if they are convicted of a felony or a misdemeanor that violates public morality or honor, and in this case, the Supplier shall be prohibited from supplying any products or services to Zayed University for a period of not less than three (3) years from the date of the final judgement.

General provisions

The Supplier shall keep confidential all information, statements, reports or documents it may receive or come to know in relation to Zayed University; and shall not disclose such information to any unauthorized party without obtaining the prior written consent of Zayed University.

The Supplier warrants and represents that it shall comply with all laws, regulations, procedures and regulatory requirements in force from time to time, relating to the use of personal data and the privacy of electronic communications.

The Supplier may not make any announcement or press release or make any statement through any advertising means including social media, concerning its registration in the Registration System or acceptance thereof as an approved Supplier before it has been accepted as an approved Supplier, provided that any statement or declaration shall be limited to the fact of its registration only.

Zayed University reserves the right to amend these terms and conditions, at any time, without prior notice. In the event of any such amendment, the said amendments shall be posted on the University’s official website and the Supplier shall ensure to keep itself informed of such amendments.
